Dear Charley—

You may draw up a contract in accordance with the enclosed, & have it ready for the signatures when we reach the Everett House Feb. 21. Perhaps you better add that the payment of my share shall also be weekly (after the funding of the first $10,000 of profits.)


Please write or tell Whitford that the death of that Southern obscene pirate ends that suit to my satisfaction. Don’t forget.

I propose to assume the management of Minnie Maddern with her company & to have a good company to play the part which she is now playing, “Caprice,” and such other plays as in my judgment she is best suited for. I enter into a partnership with her husband Mr. LeGrand White & herself for a term of three years, and six months, beginning Feb ‘85 2d (already begun) and ending May 1st 1888. The management to be under my absolute direction, with power to hire & to discharge any mem & all members of the company & make all [?] for time & [?] & to be wholly responsible for the business management. Mr. & Mrs. White to receive $160 a week as salary, they paying their own hotel & personal expenses. They to put in such sum of money as may hereafter by agreed upon. (What they can spare.) I to be an equal partner with them put in $2500, again what they can [?], & to be an equal partner in losses & profits for said term of three & a half years, neither party to draw from the business any money for the first year unless except for actual running expenses of the company [?] the profits amount to $10,000, & after that amount is accumulated profits to be equally divided at the end of each week, & at the end of th expiration of the terms of this agreement the balance of money to be divided after each has equally after each party shall have received the amount originally put in. The money to be surplus profits of the business of each week after paying Solaris & Massay running expenses, to be remitted by the treasurer at the end of each week to J. B. Pond, at New York who will keep a separate bank account of the same, & who shall be the only person authorized to check against said acct, & the acct shall be in the name of Pond & White. In [?] that S. L Clemens backs me to the amount of $2300, I hereby agree that he shall be an equal prop partner in my half of the profits of this venture, & not to be at a risk of over to the extent of more than the $2500, where he agrees to deposit with me at the time of signing this the agreement.
